Wanting Delphi programing help

I am a newbie in programing.
Could somebody give me some advice on how to make a dialog(in fact, it is a form) like Girder simple OSD?
It shall not be active when showed on screen, and shall not be listed in Windows Taskbar.
I am working my own OSD.
